Acceptance of Terms

By accessing or using SimpleWorks services — including SimpleCRM, the simple.works website, and any related APIs — you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree to these terms, please do not use our services.

Service Description

SimpleWorks provides cloud-based CRM software designed for BFSI institutions, including banks, NBFCs, and insurance companies. Service availability, features, and pricing are described in the applicable order form or subscription agreement. We reserve the right to modify or discontinue features with reasonable prior notice to customers.

Acceptable Use

You agree not to use our services to transmit unlawful, harmful, or fraudulent content, or to violate any applicable law or regulation. Reverse engineering, unauthorised data scraping, and attempts to circumvent security controls are strictly prohibited. We may suspend or terminate access if these terms are violated.

Intellectual Property

All software, trademarks, documentation, and content provided by SimpleWorks remain the exclusive property of SimpleWorks Solutions Pvt Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the services during your subscription period. No licence to our intellectual property is granted beyond what is expressly stated here.

Limitation of Liability

To the maximum extent permitted by applicable law, SimpleWorks shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the services. Our total aggregate liability for any claim shall not exceed the fees paid by you in the three months preceding the event giving rise to the claim. Nothing in these terms limits liability for fraud, gross negligence, or death or personal injury caused by our negligence.

Governing Law

These terms are governed by the laws of India for customers headquartered in India, and by the laws of Singapore for customers headquartered elsewhere in Asia-Pacific. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nagpur, India, or the courts of Singapore, as applicable. We will always attempt to resolve disputes amicably before resorting to formal proceedings.
